The forms themselves aren’t the secret sauce. Knowing what, when, and how to deviate from the forms is what lawyers (should) get paid for.

Totally agree. Adding to that, I think it’s also knowing when you DON’T need to deviate. Clients aren’t paying us to lawyer things to death. They’re paying to get a deal done with the risks either being mitigated or at least known & accepted

Agree with the premise, but would caveat that *sometimes* clients do want to pay counsel to “lawyer things to death.” 🙃 But it always comes back to understanding what the client needs and wants, and finding a way to deliver effectively and efficiently as possible given the ask.

Sure if that’s what the client wants then by all means go for it. But I’m thinking of situations where I’ve gone back & forth over seemingly pointless edits that counsel couldn’t even really explain the basis for.
