i think a company, especially a startup, is capable of changing significantly from 2018/19 to today and this letter doesn’t account for any of the changes.

very fair. nonprofit boards are typically less complicated, although this board is likely the exception to the rule.

I suspect it's because of legal liability. Board legal stuff is quite complicated (at least that's what I've heard from people who have experience on major boards).
