Alright, so after a few weeks of back and forth, the referendum to turn Nouns into a US-based non-profit, aka DUNA, is finally up. There’s been a ton of chatter about this in the Nouncil Discord, especially in the “nouns-duna” and “general” channels if you want to dig deeper.

Here’s the gist: while there are some tax perks, mainly for US folks, there are some catches. If we move forward with DUNA, Nouns will need to comply with US regulations. That means all development and grants, past, present, and future, must fit within those legal boundaries. KYC is coming for grant recipients, though not for voters yet. And buyers? There will be wallet checks, at least for now.

Something else that doesn't get talked about enough is how this will effect demand for Nouns outside of the US.

For those living elsewhere, do you *really* want to be part of some random US regulatory entity?

For me personally, absolutely not. The whole point of blockchains and DAOs are about not being bounded by any particular jurisdiction.

"No, we aren't going to work with you because you aren't a registered legal entity in the US. But if you become one, then we'll work with you."

1. When has this ever happened to us?
2. Who is so advantageous to work with that it is worth throwing away our core values?
3. Anyone that has this sort of attitude towards what will clearly be the de facto organizational structure of the future *is not worth our time*. It's better to let economic natural selection take it's course until these entities are no longer.

People want founders/leaders to support things they participate in. The leaders are often the reason many are drawn to a particular thing. 

Unfortunately, I don't think a better version of Nouns lives without their backing.
