As a lawyer (and a crypto VC) who recently joined the DAO, I thought I would chime in on the DUNA proposal, especially as we are in the process of appointing an administrator. I realize the DAO has chosen a path here, and my goal is not to change it but rather educate members and create greater transparency.

My take is that there are considerable eadvantages but also drawbacks to structuring as a DUNA (a Wyoming decentralized unincorporated non-profit association). https://a16zcrypto.com/posts/article/duna-for-daos/

stoked to see you commenting, have been curious your take information dissemination is HARD in Nouns, we’re quite Decentralized, but not very Autonomous or Organized the trade offs were much discussed in the Nouncil discord, a channel was setup for DUNA talk. hard to say how much of that info permeated across the DAO. personally started researching DUNA for Nouns in March ‘24 it is looking like we’ll be the first ever DUNA. i’m involved with a group in Kansas City that are forming a DUNA DAO, happy to connect you to them re: ability to retain service providers, i believe first year ops were fully budgeted in the October DUNA prop based on estimates from the current Big 4 accounting team + Latham & Watkins legal team, minus potential tax obligations of course personally have been pushing for Nouns to become 501c3, (via fiscal sponsorship initially, which I have lined up ready to go if the DAO wants it,) to mitigate the tax situation and create binding guardrails around the activities of the DAO

Does bidding income consider as income too? So does DAO have to pay 21% of total bidding income tax? And what about historical income?
