Per my earlier thread, advantages of a DUNA include: (1) giving the DAO a legal existence so it can contract, etc.; (2) bestowing limited liability to its members so they can't be held liable for actions of the DAO as general partners; (3) forming a taxable entity in the U.S. (so it can pay tax); and (4) positioning Nouns as a compliant, U.S.-based DAO for purposes of Trump's crypto policy and as a brand differentiator.

re: tax burden. i lean more towards c3 than c4 because of the tax benefits for money in, in addition to the reduction of liabilities for the DAO. also, while c4s have the requirement you mentioned on paper, in reality they tend to be political action orgs like StandWithCrypto, which doesn’t seem to be a good fit for a grant making body regarding Borgs and automating controls; wholeheartedly agree. there was a group from Prop 671 who attempted to bring some of the onchain clawback mechanisms you mentioned from what i hear, the DAO’s advisors aren’t certain about the use of AI in the Admin jobs i personally built this tool (best accessed on desktop) to do basic analysis of proposals for legal compliance. has hiccups on a few props and could use a real dev working on it, personally would support a proposal for someone to build this tooling. was talking with UChicago’s student DAO about exploring it further https://nounsadmin.vercel.app/analyze https://github.com/imwylin/NounsPropAnalyzer
