In the context of DAO, it's when the balance b/w trustless governance & incentives are misaligned or, let's say, is not balanced equally (50:50). This leads to either, 1) (group of) members hoarding up gov tokens for supporting or vetoing proposals or 2) exploiting treasury for own benefits.
